1. Acceptance of These Terms

By accessing our website, submitting a contact form, requesting a quotation, or entering into a service agreement with us, you agree to be bound by these Terms of Service and by our Privacy Policy. AquaSkyPool offers swimming pool design, construction, renovation, maintenance, water chemistry testing, equipment supply and installation, heating and covers, and leak detection and repair services. Our services are delivered by qualified personnel who operate in accordance with applicable building codes, safety standards and industry best practices. The specific scope of any project or service will be set out in the documentation we provide to you before work begins.

Nothing on our website constitutes a guarantee of any particular result unless it is expressly stated in a written service agreement signed by both parties.

3. Eligibility to Use Our Services

You must be at least eighteen years of age to enter into a service agreement with us or to place an order for equipment or services. If you are younger than eighteen, you may use our website for informational purposes only and only under the supervision of a parent or guardian.

You confirm that the information you provide to us, including your name, address, contact details and payment information, is accurate, complete and up to date, and that you have the legal authority to authorise work on the property concerned.

We may refuse to provide services, at our sole discretion, where we reasonably believe that a customer has provided false information, breached these terms, or engaged in conduct that puts our staff, other customers or the public at risk.

4. Use of the Website

5. Quotations and Estimates

When you request a quotation, we will prepare an estimate based on the information you provide and, where needed, an inspection of the site. Quotations are valid for the period stated in the quotation document, after which the terms and prices may change.

A quotation is an invitation for you to order and is not a binding contract until you accept our written proposal and we confirm that acceptance in writing. We may revise a quotation if the project scope changes or if we discover conditions at the site that were not anticipated at the time of the estimate.

Any prices shown on our website or in marketing materials are indicative only and may vary depending on the specifications, materials and conditions of your project.

6. Service Agreements and Contracts

A service agreement sets out the scope of work, specifications, timelines, prices, warranties and other important terms for your project. No work will begin until both parties have agreed to and signed a service agreement, except for small jobs where alternative terms are agreed in writing.

Once signed, the service agreement is the complete and exclusive statement of the agreed terms and supersedes any earlier discussions, emails or proposals. Any changes to the agreement must be made in writing and agreed by both parties.

If a conflict arises between these Terms of Service and a signed service agreement, the terms of the signed service agreement will govern in respect of that specific project, except where these terms are required by law.

7. Payment, Deposits and Invoicing

Payment terms for your project are set out in your service agreement. For larger projects we may require a deposit before work commences and staged payments at agreed milestones. For ongoing maintenance we may invoice on a periodic basis.

Unless otherwise agreed, invoices are payable within the period stated on the invoice. If a payment is not received by the due date, we may pause work until the outstanding amount is settled, and interest or late fees may apply as permitted by law.

We will issue appropriate receipts and documentation for the payments we receive. You are responsible for ensuring that your payment details are correct and that you have sufficient funds or authorised credit to complete the transaction.

8. Customer Responsibilities

You agree to provide us with reasonable and safe access to the property, including access to the relevant areas, power and water where needed, and a safe working environment. You agree to inform us of any hazards, underground utilities, easements or restrictions that may affect our work.

You are responsible for obtaining any consents, permits or approvals that are required from your homeowners association, local authority or other regulatory body for the work unless we have agreed to arrange these on your behalf.

You should make secure arrangements for pets, young children and valuable items so that they are not harmed or damaged during our work. You are also responsible for maintaining insurance over your property as appropriate.

9. Scheduling and Site Access

We will make reasonable efforts to complete work on the schedule we agree with you. However, delays can arise from weather, supply shortages, unforeseen site conditions, permitting issues and other factors outside our control.

If any delay is likely to be significant, we will let you know as soon as we are aware of it and agree a revised schedule. We will not be liable for delays caused by factors beyond our reasonable control.

Please provide us with your current contact details so that we can reach you to confirm appointments, deliveries and access arrangements. Repeated missed appointments may result in a reasonable scheduling fee.

10. Warranties and Guarantees

We stand behind the quality of our workmanship. Our standard warranty covers defects in the construction work we perform for a period set out in your service agreement. The warranty does not cover damage caused by misuse, neglect, accidents, unusual weather, or normal wear and tear.

Products and equipment supplied by third-party manufacturers carry the warranty provided by that manufacturer. We do not extend or guarantee those manufacturer warranties, but we will help you make a valid claim where it is appropriate to do so.

To make a warranty claim, please notify us in writing as soon as you become aware of a potential defect, providing your reference and a description of the issue. We will inspect the matter and, where covered, carry out the necessary repair or replacement under the warranty terms.

11. Warranty Limitations and Liability

Our liability under any warranty is limited to the repair or replacement of the defective work or materials, or, at our option, a proportionate refund of the amount paid for the affected service. We are not liable for consequential losses such as loss of use, loss of profit, or damage to other parts of your property.

Before we begin a project, please tell us of any pre-existing damage or conditions so that we can properly scope the work. We are not responsible for pre-existing issues that were outside the agreed scope of work.

We recommend that you perform routine inspections and keep your pool and equipment in good order between service visits, as user maintenance is an important part of keeping any warranty valid.

12. Limitation of Liability

To the maximum extent permitted by law, the total liability of aquaskypoolco LLC for all claims arising from or relating to the use of our website or services shall not exceed the total amount paid or payable by you to us for the specific service that gave rise to the claim.

In no event shall we be liable for any indirect, incidental, special, consequential or punitive damages, including loss of profits, revenue, data, goodwill or savings, whether arising in contract, tort, or otherwise, even if we have been advised of the possibility of such damages.

Nothing in these terms limits or excludes liability that cannot be limited or excluded by law, such as liability for death or personal injury caused by our negligence or for fraudulent misrepresentation.

13. Indemnification

You agree to indemnify, defend and hold harmless aquaskypoolco LLC, its employees, agents and subcontractors from and against any claims, damages, losses, liabilities, costs and expenses, including reasonable legal fees, arising out of or in connection with your use of our website or services, your breach of these terms, or your violation of any law or the rights of a third party.

This indemnification applies to the fullest extent permitted by law and will survive the termination of these terms and any service agreement.

14. Equipment, Materials and Products

Where we supply equipment, materials or products, they are supplied subject to the terms of the manufacturer and to the specific terms of your order. We will use reasonable skill in selecting, installing and connecting the products to meet the requirements of your project.

Product specifications, availability and prices may change, and we will confirm the precise products, models and prices before they are ordered or installed unless otherwise agreed.

Upon installation, the risk in supplied products passes to you in accordance with the terms of your service agreement. We will provide you with the relevant operating manuals and maintenance guidance where appropriate.

15. Cancellation and Rescheduling

You may cancel a one-off service order by giving us reasonable written notice, subject to the terms of your service agreement and any costs we have already reasonably incurred, such as for materials ordered or cancelled slots.

For ongoing maintenance agreements, you may cancel with notice as set out in your agreement. Deposits already paid may be non-refundable where they relate to materials ordered or work reserved, as described in our agreement with you.

We may cancel or reschedule work in cases of severe weather, safety concerns, or other circumstances beyond our control, and we will notify you as soon as practical and reschedule at the earliest convenient time.

16. Intellectual Property

All content on this website, including text, graphics, logos, designs, layout, and the overall arrangement of the site, is the property of aquaskypoolco LLC or its licensors and is protected by applicable intellectual property laws.

You may not use, reproduce or exploit our trademarks, branding or content without our prior written permission. Design drawings, plans and specifications we prepare for you remain the property of the author, with a licence for you to use them for the intended project.

Any dispute arising from or relating to these terms or our services will be subject to the exclusive jurisdiction of the courts of the State of California. You agree to submit to the personal jurisdiction of such courts for the purpose of any such dispute.

Before commencing formal proceedings, we encourage you to contact us to try to resolve any concern informally. This does not affect your right to escalate a matter where required by law. Buyer protections set out in applicable consumer law are not excluded by this section.

22. Severability and Entire Agreement

If any provision of these terms is held to be invalid, illegal or unenforceable, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

These terms, together with our Privacy Policy and any signed service agreement, constitute the entire agreement between you and aquaskypoolco LLC regarding the subject matter and supersede all prior agreements and understandings.

Our failure to enforce any provision of these terms does not constitute a waiver of that provision or of any other provision. A waiver by us of a breach of these terms must be in writing to be effective.
